Terms of Use for Enshrouded Adventure Sharing

1. Scope and Subject Matter of the Agreement

1.1 Keen Games GmbH, Dreieichstr. 59, 60594 Frankfurt am Main("Keen"), operates the game Enshrouded ("Enshrouded"). Within Enshrouded, the "Adventure Sharing" feature may be used as a freely available gameplay feature subject to these Terms of Use for Enshrouded Adventure Sharing ("Adventure Sharing Terms") With Adventure Sharing, you can, in particular, upload environments from your save game that you have individually created and designed as worlds by building, terraforming, and placing in-game items, and make them available to the community of users for visiting, interacting with, or downloading ("Adventure Sharing").

1.2 The subject matter of the agreement is your use of Adventure Sharing. Adventure Sharing is a freely available gameplay feature within Enshrouded. These Adventure Sharing Terms therefore constitute separate terms that apply in addition to the current version of the Terms of Use
for Enshrouded, available at https://enshrouded.com/eula. In addition, the terms of the respective platform through which you purchased Enshrouded (e.g., Steam or any similar platform; collectively referred to as the "Platform") shall apply to the use of Adventure Sharing. In the event of any conflicts between these Adventure Sharing Terms and the terms of the respective Platform, the Platform terms shall prevail. Unless otherwise agreed, in the event of any conflicts between these Adventure Sharing Terms and other agreements, the respective provisions shall apply to the use of Adventure Sharing as a freely available gameplay feature of Enshrouded in the order as follows:

• Contractual terms of the respective Platform
• Terms of Use for Enshrouded
• Adventure Sharing Terms

1.3 Internet connectivity, the maintenance of the network connection, and the procurement and provision of the hardware and software required to use Adventure Sharing are not part of these Adventure Sharing Terms. In order to use Adventure Sharing, you must therefore independently ensure that you have Internet access and all devices required for this purpose and must bear any costs incurred in this connection.

1.4 Keen does not store the text of this agreement after the agreement has been concluded. You can access these Adventure Sharing Terms at any time at https://enshrouded.com/AdventureSharing_ToS.

1.5 For the purposes of these Adventure Sharing Terms, the following definitions apply:"User Content" means all content that you upload or make available in Adventure Sharing, in particular worlds, i.e., game environments that you have individually created and designed in Enshrouded by building, terraforming, and placing objects and decorations, titles, descriptions, screenshots, and player-owned in-game text.

"Uploader" means a user, as a natural person, who uploads and makes User Content available in Adventure Sharing.

"Platform ID" means the unique user ID of the respective Platform, in particular, the Steam ID through which the Uploader accesses Enshrouded.

"Visiting" means the mode in which you can enter a world and interact with it without any changes being saved. Experience points earned, items picked up, or achievements unlocked are not saved to your profile.

2. Conclusion of the Agreement

Adventure Sharing is a freely available gameplay feature of Enshrouded. The use of Adventure Sharing, therefore, first requires that you have purchased Enshrouded and accepted the Terms of Use for Enshrouded. You may only use Adventure Sharing after you have accepted these Adventure Sharing Terms. Before your first upload, you will be expressly asked to accept these Adventure Sharing Terms. An upload is not possible without this acceptance.

You submit a binding offer to conclude these Adventure Sharing Terms as an agreement by activating the checkbox "I agree to the Terms of Use" as part of your first upload in Adventure Sharing and then clicking the "Create" button. Until you activate the checkbox and click "Create", you may cancel the process at any time or change your entries. The agreement is concluded when Keen accepts your offer by enabling the upload. Keen will promptly confirm the conclusion of the agreement to you electronically.

3. Your Obligations

3.1 You are obliged to use Adventure Sharing as a freely available gameplay feature of Enshrouded in accordance with these Adventure Sharing Terms and the Terms of Use for Enshrouded, as well as in line with their respective intended purpose. In doing so, you are obliged not to impede or harass other users in their use and not to use Adventure Sharing for purposes other than those intended or in a manner that disrupts or overwhelms the technical operation of Adventure Sharing.

3.2 By uploading User Content, you represent to Keen that:

• You hold all rights required to grant the rights of use under Sections 4.1 and 4.2, or are otherwise authorized to make the User Content available in Adventure Sharing.
• The User Content does not infringe any third-party rights, in particular no copyrights, trademark rights, other distinctive sign rights, personality rights, or other proprietary rights of third parties. If the User Content contains third-party content, you therefore represent that you have all necessary consents, licenses, or other authorizations.

3.3 As an Uploader, you are prohibited from selling User Content, making it available for consideration, or granting third parties access to your User Content in Adventure Sharing in return for payment. In particular, charging access fees or paywalls of any kind for your User Content in Adventure Sharing, as well as linking User Content to NFTs, blockchain technologies, or other digital assets, is prohibited. In addition, you are prohibited from granting third parties exclusive rights of use to User Content made available in Adventure Sharing insofar as this would impair the provision of the User Content or the exercising of rights granted to you and Keen under these Terms. You are also prohibited from soliciting donations, funding contributions, or other voluntary payments from third parties in connection with the uploading or provision of User Content in Adventure Sharing. In particular, linking to external donation platforms or crowdfunding services in the description, title, or metadata of the User Content is prohibited.

3.4 Prohibited Conduct

The following is prohibited in connection with Adventure Sharing in particular:

1. The use of measures, mechanisms, or software that may interfere with the function and operation of Adventure Sharing.
2. Measures that could result in an unreasonable or excessive burden on the technical capacities of Adventure Sharing.
3. Blocking, overwriting, or modifying content generated by Keen or otherwise interfering disruptively with gameplay.
4. The use of bots or other similar tools.
5. The use of scripts and programs that give you an advantage over other users or circumvent upload restrictions.
6. Creating or using cheats, mods, hacks, and/or software that alters or impairs the operation of Adventure Sharing or the Adventure Sharing server.
7. Blocking, overwriting, modifying, or reverse engineering the Adventure Sharing system, the Adventure Sharing server, or the file format used by Keen.

3.5 Prohibited Content

As an Uploader, you may not upload, make available, or distribute any User Content that falls under the prohibited content described below ("Prohibited Content"). Prohibited Content within the meaning of these Adventure Sharing Terms includes:

1. Content that contains personal insults, discrimination, defamation, language that is vulgar, sexual, and obscene, and images, image-like expressions, and graphics that may offend others.
2. Content that is misleading, discriminatory, or fraudulent (e.g., incorrect content, factual information relating to individuals or protected groups that is contextualized or de-contextualized in such a way that it may promote fear, hatred, or prejudice, and conspiracy theory content).
3. Viruses, malware, spyware, harmful code, software, scripts, files, and other mechanisms or techniques suitable for spying on, attacking, disabling, or otherwise impairing Keen, other Adventure Sharing users, or their devices; expressly including scripts and scripted gameplay mechanics designed to destabilize the game, exploit exploits, or circumvent technical protection measures. Likewise, content suitable for manipulating or circumventing the functionality of Enshrouded, Adventure Sharing, or associated systems is prohibited.
4. Content that infringes copyrights, trademark rights, other distinctive sign rights, or other proprietary rights relating to Enshrouded or Keen, other users, or third parties, or that violates contractual restrictions vis-à-vis third parties. In particular, you must ensure that the content does not violate the platform terms of a website or any other third-party service.
5. Content that contains instructions or directions capable of causing harm to third parties or to the health or property of third parties.
6. Off-topic content, in particular content that is clearly unrelated to Adventure Sharing or the game Enshrouded, and conflicts with the purpose of Adventure Sharing.
7. Content that depicts or promotes violence or illegal activities, as well as sexually explicit material and offensive content (e.g., scenes showing the use of violence against humans or animals, threats or language glorifying violence, incitement to unlawful conduct; child sexual abuse material, sexual remarks about people's bodies, requesting or offering sexual acts).
8. Content that violates applicable law, e.g., terrorist content, content that violates consumer protection or youth protection laws, content inciting or glorifying the commission of criminal offenses, unlawful and non-consensual distribution of private images.
9. Content that discloses personal or confidential information of others (e.g., private contact details and addresses).
10. Harassing content or conduct (e.g., content suitable or intended to harass, intimidate, or harm individual users, in particular through personally targeted attacks contained in world descriptions or titles).
11. Content that violates these Terms or the Terms of Use for Enshrouded.
12. Links/references leading to the content described above.

3.6 You are also prohibited from any actions that are equivalent in effect to the foregoing prohibitions.

3.7 If you discover a potentially exploitable error in Adventure Sharing that could be used to the detriment of other users or Keen, please report it to Keen without undue delay.

3.8 If, by uploading User Content, you intentionally or through gross negligence violate these Adventure Sharing Terms, third-party rights, or otherwise applicable law, you shall be responsible to Keen for resulting third-party claims in accordance with the statutory provisions.

4. Granting of Rights by You

4.1 Granting of Rights to Keen

4.1.1 By uploading User Content, you grant Keen a worldwide, non-exclusive, and, where necessary, transferable and sublicensable right to use the User Content to the extent required for the operation, provision, improvement, and promotion of Adventure Sharing and Enshrouded, i.e., to reproduce, distribute, make publicly available, and publicly communicate the game feature, as well as to make technically necessary adaptations and formatting changes. This right permits Keen to do the following:

• Host and store the User Content on Keen's servers or on the servers of hosting service providers commissioned by Keen.
• Make the User Content available to other users in Adventure Sharing, including cross-platform public availability.
• Display the User Content in the ranking areas of Adventure Sharing.
• Reproduce, distribute, and publicly communicate the User Content for the purpose of promoting Adventure Sharing and Enshrouded by Keen, including on social media channels, in trailers, and on Keen's website and in other marketing materials. In this case, where possible and customary in the industry based on the type of use, Keen will identify you as the author.
• Make technical adaptations, formatting changes, conversions into other output formats, and corrections to the User Content insofar as this is technically necessary for the operation of Adventure Sharing, cross-platform provision, or display in marketing materials within the provisions of d), but no other content-related modifications.
• By granting the foregoing rights, you represent that you hold all rights required for this purpose or are otherwise authorized to make the User Content available in Adventure Sharing. The granting of rights is free of charge. As such, no separate remuneration will be paid beyond the possibility of using Adventure Sharing.

4.1.2 You may revoke the use of your User Content for marketing purposes as provided in Section 4.1.1 d) at any time by selecting the option "I object to the use of my uploaded content for marketing purposes" when uploading the User Content or later in the management section for your User Content. Keen is not required to retroactively remove materials that have already been published.

4.1.3 The right of use granted under Section 4.1 shall exist for the duration of the availability of the User Content on Adventure Sharing and shall end upon the actual deletion of the User Content by Keen or the Uploader. As an Uploader, you can therefore terminate this right of use granted to Keen by removing your User Content. Beyond the time of deletion of the User Content, Keen's right of use shall remain in full force to the extent required for legal defense against third parties, to the extent Keen is legally obliged to archive the User Content, and to the extent the User Content is already being used at the time of deletion in lawfully published marketing materials as provided in Section 4.1.1 d).

4.2 Granting of Rights to Downloaders

4.2.1 By uploading User Content, you simultaneously grant other users of Enshrouded a worldwide, non-exclusive, non-transferable, non-sublicensable right to use the User Content within the scope of Adventure Sharing, in particular to reproduce and store the User Content to the extent required for local use in Visiting mode. This right includes:

• Downloading and storing the User Content to the extent required for Visiting mode.
• Entering and experiencing the User Content by way of Visiting mode, without changes to the User Content being saved.

4.2.2 The right of use granted under Section 4.2 shall exist for the duration of the availability of the User Content on Adventure Sharing and shall end upon the actual deletion of the User Content by Keen or the Uploader. As an Uploader, you can therefore terminate this right of use granted to Downloaders by removing your User Content. For technical reasons, temporary local cached copies (cache files) of the User Content created during Visiting mode may temporarily remain on the user's device after the User Content has been removed from Adventure Sharing. Keen has no influence over when such cache files are automatically cleared by the relevant operating system or device and assumes no responsibility in this regard.

4.3 No Transfer of Ownership: The granting of rights under Sections 4.1 and 4.2 do not result in any transfer of ownership of, or copyright in, the User Content. You remain the author of your User Content and retain all rights not expressly granted for use.

4.4 No Claim to Publication or Continued Availability: The granting of rights under Sections 4.1 and 4.2 also do not give rise to any claim to the publication, ranking, or continued availability of User Content on Adventure Sharing.

4.5 Cross-Platform Sharing: By uploading User Content, you consent to your User Content being displayed and downloaded across platforms—in particular by users on Steam and other platforms alike. For users on other platforms, the respective terms of the Platform through which they use Enshrouded shall additionally apply.

5. Granting of Rights by Keen

The Platform terms through which you purchased Enshrouded apply to the granting of rights for Enshrouded. As a freely available gameplay feature of Enshrouded, the granting of rights under the Terms of Use for Enshrouded shall otherwise apply to the use of Adventure Sharing.

6. Blocking of Content or Uploaders

6.1 Moderation of Content

For the enforcement of the provisions under Section 3, in particular, the provisions on Prohibited Content under Section 3.5, as well as these Adventure Sharing Terms, Keen may take the moderation measures described below with respect to User Content and the activities of Uploaders.

6.1.1 Keen does not carry out a general prior content review of User Content. However, inappropriate expressions in titles, descriptions, and in-game text are automatically filtered out immediately when displayed on the client by the Downloader using the word-filter libraries of the Platforms through which Enshrouded and Adventure Sharing are used. The filtering decision is made by the respective Platform based on its libraries. As such, Keen does not make its own substantive assessment in this regard. You may be able to adjust the filter settings individually on the respective Platform. If, after uploading, you notice that terms in your User Content have been filtered, you can adjust your User Content using the edit function. The word filter does not replace your obligation under Section 3.5 not to upload any Prohibited Content.

6.1.2 A manual review of User Content by a moderator shall take place in particular if the User Content has been reported by you as a user or by another person or entity via the reporting function or another reporting tool ("Reporting Person"). As a user of Adventure Sharing, you also have access to a reporting system integrated into Adventure Sharing for reporting violations of Section 3, in particular, violations of Section 3.5. This reporting system can be used via the details page of a world in the Adventure Sharing menu (the "Report" button). In addition, any other person or entity, as well as you as a user, may submit a report via Enshrouded customer support.

6.1.3 After the report has been submitted, the Reporting Person shall receive an acknowledgment of receipt of the report, via in-game pop-up or, if the report is submitted via customer support, by email.

6.1.4 Keen endeavors to maintain a safe and user-friendly environment in Enshrouded and Adventure Sharing. Depending on the nature and severity of a violation, Keen may take the following measures:

• Removing or blocking User Content.
• Temporarily blocking the Uploader's Platform ID from uploading for Adventure Sharing as a whole.
• Permanently blocking the Uploader's Platform ID from uploading for Adventure Sharing as a whole.

6.1.5 Keen shall determine, free from arbitrariness and objectively on the basis of the information available at the relevant time, whether content constitutes Prohibited Content or whether conduct is prohibited. The measures to be taken shall depend in particular on the nature (e.g., whether a criminal offense is involved), the severity (e.g., threat of death or violence), the frequency of violations (in relation to the total number of reports and within a certain period), the consequences (e.g., whether and how many other users were harmed or impaired, whether marginalized groups were affected), and the discernible intent of the acting person, insofar as this is discernible. In doing so, Keen acts in an objective, non-discriminatory, and proportionate manner, and gives due consideration to the rights and legitimate interests of all parties involved.

6.1.6 If Prohibited Content is identified, it will in any event be removed, since this is the only way to ensure that Prohibited Content is not seen in Adventure Sharing.

6.1.7 If Keen takes the aforementioned measures, Keen will notify the Uploader by an in-game pop-up screen. Keen will also inform the Uploader whether the world title led to the aforementioned measures. In the notice regarding the removal or blocking of User Content, the Uploader will also be informed that their Uploader's Platform ID may be blocked from uploading to Adventure Sharing as a possible measure for enforcing the provisions under Section 3.

6.1.8 Keen may also take measures against Uploaders or User Content that violate applicable law if the competent national judicial or administrative authorities have issued an order under applicable law to act against specific User Content or against Uploaders.

6.1.9 If Keen becomes aware of information giving rise to the suspicion that a criminal offense posing a threat to the life or safety of one or more persons has been committed, is being committed, or may be committed, Keen will promptly inform the competent law enforcement or judicial authorities of the suspicion and provide all available relevant information.

6.2 Measures and Protection Against Misuse

If the reporting mechanisms described are misused, i.e., if manifestly unfounded reports are frequently submitted through the reporting mechanisms, Keen shall suspend the handling of reports from the relevant Reporting Person for an appropriate period after prior warning. Keen's decision on suspension shall depend on the nature (e.g., reports unrelated to Prohibited Content), the severity (e.g., harassment, defamation), the frequency (in relation to the total number of reports and within a certain period), the consequences (e.g., disruption of the Platform and Keen employees, content moderation decisions to the detriment of third parties), and the intent of the acting person, insofar as this is discernible.

7. Ranking and Recommendation Systems

7.1 Adventure Sharing uses several systems for displaying and prioritizing User Content. The following Sections explain the respective parameters as well as your options for influencing the display.

7.2 In the "Popular" list, worlds are ranked according to the number of Likes received. The more Likes a world receives, the higher it will appear in this list. You can Like any world. There is no option to submit negative ratings. As an Uploader, you can influence the placement of your world in the "Popular" list by offering high-quality, attractively described, and well-categorized worlds that other users Like. Influencing the ranking by paying Keen a direct or indirect fee is not possible and is expressly prohibited.

7.3 The "New" list displays the most recently uploaded or updated worlds in chronological order. The most recently uploaded world is shown first. In the "Most Downloaded" list, worlds are ranked according to the total number of their downloads. The more downloads that are recorded for a world, the higher it will appear in this list. In the "Trending" list, worlds are ranked according to their relative change in popularity within a certain review period. The determining parameter is the increase in Likes in relation to the respective review period. The more a world gains popularity during this period, the higher it will appear in the "Trending" list. As an Uploader, you can influence the placement of your world in the "Most Downloaded" or "Trending" list by offering high-quality, attractively described, and well-categorized worlds. It is not possible to influence this order by means of filters or different sorting.

7.4 You can search for worlds by name and Creator using the search function and filter the results using tags that classify worlds into content-related categories. The search results are ordered according to the relevance of the tags to the search query. By selecting tags, you can actively narrow and customize the displayed search results.

7.5 No ranking beyond the parameters described above takes place. In particular, as an Uploader, you have no means of influencing the ranking by paying Keen a direct or indirect fee.

8. Liability

8.1 As a freely available gameplay feature of Enshrouded, liability for Adventure Sharing lies primarily with the respective Platform through which you purchased Enshrouded. To the extent direct liability exists for Enshrouded and Adventure Sharing as a gameplay feature, Keen shall be liable in accordance with the Terms of Use for Enshrouded. With regard to User Content made available by Uploaders in
Adventure Sharing, Keen merely reproduces content from Uploaders and isnot responsible for it. Keen gives no warranty as to the availability, accuracy, completeness, or defectiveness of User Content. The hosting of User Content by Keen does not constitute endorsement, authorization, or substantive review of the respective User Content.

8.2 To the extent Keen is otherwise directly liable, in particular for damage caused by Keen, Keen's liability under these Adventure Sharing Terms shall ultimately be governed by the following provisions:

8.2.1 Keen shall have unlimited liability for intent and gross negligence, as well as for damages arising from injury to life, body, or health.

8.2.2 In cases of slight negligence, Keen shall be liable in the event of a breach of an essential contractual obligation. For the purposes of this Section, an essential contractual obligation is an obligation whose fulfillment is necessary to make the performance of the agreement possible in the first place and on whose fulfillment the contractual partner may therefore regularly rely.

8.2.3 Liability pursuant to Section 8.2.2 is limited to the damage foreseeable at the time the agreement was concluded and whose occurrence would typically be expected.

8.2.4 In the case of Section 8.2.2, liability for damages due to data loss is limited to the amount required to restore the data that would also have been incurred if you had regularly backed up the data in a manner appropriate to the risk.

8.2.5 The limitations of liability shall apply accordingly for the benefit of Keen's employees, agents, and vicarious agents.

8.2.6 Any liability of Keen for guarantees given (which must be expressly designated as such) and for claims under the Product Liability Act shall remain unaffected.

8.2.7 Any further liability of Keen is excluded.

9. Term and Termination

9.1 As a freely available gameplay feature of Enshrouded, the terms of the Platform through which you purchased Enshrouded shall apply to the use of Adventure Sharing. In addition, the provisions of Section 9 shall apply insofar as they do not conflict with the Platform terms. In the event of such a conflict, the order of precedence set out in Section 1.2 shall apply.

9.2 Keen may ordinarily terminate these Adventure Sharing Terms by giving a two week notice.

9.3 If the agreement between you and the Platform regarding the provision of Enshrouded and/or the Terms of Use for Enshrouded agreed between you and Keen ends for any reason whatsoever, these Adventure Sharing Terms shall also end.

9.4 The statutory right to extraordinary termination without notice for good cause shall remain unaffected.

9.5 Upon termination of these Adventure Sharing Terms, your User Content will generally not be removed automatically. The continued validity of the rights granted by you shall be governed by Section 4.

10. Protection of Minors and Youth

Adventure Sharing is available only to those users who are entitled to use Enshrouded under the terms of the respective Platform. Adventure Sharing is restricted by the parental control systems of the respective Platforms. These generally provide guardians with the option to disable child account access to user-generated content, including access to Adventure Sharing. Keen checks this setting upon login. If, according to the parental control settings configured by the Platform or the guardians, an account does not have the required authorization for user-generated content, the Adventure Sharing option will not be shown in the main menu and will not be accessible. Keen does not carry out any independent age or access review with respect to content. The setting stored on the respective Platform is the only decisive factor.

11. Changes to Adventure Sharing

11.1 The terms of the Platform through which you purchased
Enshrouded shall apply to the use of Adventure Sharing as a freely available gameplay feature of Enshrouded. In addition, the provisions of Section 11 shall apply insofar as they do not conflict with the Platform terms. In the event of such a conflict, the Platform terms shall prevail.

11.2 Changes to Adventure Sharing as a freely available gameplay feature of Enshrouded shall be governed by the Terms of Use for Enshrouded. The adding, removing, and adjusting of game content and gameplay features of Adventure Sharing does not constitute a change to Adventure Sharing or Enshrouded or their scope of functions and may be carried out by Keen at any time without regard to the requirements of the Terms of Use for Enshrouded. This includes, in particular, the complete or partial modification, restriction, or complete discontinuation of Adventure Sharing as a gameplay feature. However, this does not include the removal or adjustment of in-game items already purchased.

12. Changes to the Adventure Sharing Terms

12.1 Keen may amend and adapt these Adventure Sharing Terms with effect for the future if there is a valid reason for the amendment and insofar as the amendments are reasonable, taking into account the interests of both contracting parties.

12.2 A valid reason exists in particular if the amendments are necessary (i) due to an unforeseeable, non-insignificant disruption of the contractual equilibrium for Keen at the time the agreement was concluded, (ii) due to changes in case law or legislation affecting the continued performance of the agreement, (iii) due to the gradual introduction of new freely available gameplay features in Adventure Sharing that were not yet available at the time these Adventure Sharing Terms were concluded, or (iv) due to changed technical requirements, or if the amendments are made in your favor.

12.3 An amendment to an essential primary performance obligation is excluded. Changes to the scope of functions of Enshrouded and Adventure Sharing as game content of Enshrouded are governed by the Terms of Use for Enshrouded and do not constitute changes to essential primary performance obligations.

12.4 Keen will notify you of the amended Terms in text form at least six weeks before the planned entry into force and will separately draw your attention to the new provisions and the date on which they enter into force. At the same time, Keen will grant you a reasonable period of at least six weeks to declare whether you accept the amended Adventure Sharing Terms for the continued use of Adventure Sharing and its features.

12.5 If you do not make any declaration within this period, which begins upon receipt of the notice in text form, the amended Adventure Sharing Terms shall be deemed agreed.

12.6 At the start of the period, Keen will separately inform you of this legal consequence, i.e., the right to object, the objection period, and the significance of silence.

13. Final Provisions

13.1 Choice of Law: These Adventure Sharing Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer and do not have a permanent residence in Germany, this shall apply subject to the proviso that mandatory provisions of the law of the state in which you have your habitual residence shall continue to apply insofar as they provide otherwise.

13.2 Language: The contractual language of these Adventure Sharing Terms is German and may be accessed at any time at https://enshrouded.com/AdventureSharing_ToS. All other language versions are for convenience only. In the event of discrepancies between the language versions, the German language version shall prevail.

13.3 Place of Jurisdiction: With respect to (i) users who are not consumers, (ii) consumers who have no residence in Germany at the time the agreement is concluded or who move their residence abroad after the agreement is concluded, and (iii) consumers whose habitual residence is unknown at the time an action is brought, the place of jurisdiction and place of performance shall be Frankfurt am Main. In all other respects, the place of jurisdiction shall be determined in accordance with the general rules.

13.4 Transferability: Keen has the right to transfer the rights and obligations arising from this agreement to a third party. In such a case, you have the right to withdraw from the agreement.
